New deal completed: Largillière Finance advised Groupe Off on opening up its capital to a pool of investors comprising FRI Gestion (Siparex group) and AMDG Private Equity

This transaction, advised by Largillière Finance, will enable the Off Group, one of France's leading distributors of IT, high-tech and connected object products, to pursue its development, accelerating its digitalization and external growth strategy.

Created in 2010 and based in Lyon (69), the Off group is organized around its 2 flagship companies: Trax Distribution and Off Global.

Trax Distribution is a major player in the distribution of IT, high-tech and connected object products in France. Positioned exclusively in the BtoB sector, Trax Distribution serves a customer base made up of GSA (Carrefour, Auchan, Casino, etc.), GSS (Fnac, Boulanger, Darty, etc.) and major corporates and office retailers (Office Dépôt, Bureau Vallée, etc.). Initially specialized in the distribution of storage and flash memory products, Trax Distribution initiated in 2019 a major diversification towards new segments such as connected objects, urban mobility (scooters, bikes, ...) or gaming (accessories).

Off Global is the group's subsidiary dedicated to the design, manufacture and distribution of portable PCs and connected watches, produced exclusively under the NOKIA brand thanks to its worldwide licensing agreement signed in 2021 with the Finnish group.

With its two companies, and positioned in a buoyant sector, the Off Group is currently enjoying strong growth, with sales of over €60 million.

The expansion capital transaction, carried out with FRI Gestion and AMDG Private Equity and advised by Largillière Finance, is in line with management's strong desire to accelerate the growth of the Off Group. In particular, it intends to pursue the development of Off Global's business following its acquisition of the Nokia license, and to accelerate the digitalization of its sales via marketplaces. These new financial resources will also enable the group to pursue its external growth strategy, following the recent acquisition of two companies. New opportunities are already under consideration.
