The investment bank Largillière Finance advised the Chief Operating Officer of Mendès Electricité and Deltacom in the buyout of both companies from their shareholders through a sponsorless MBO.
Mendès Electricité is specialized in engineering, design and project management for the electrical sector of the building industry. Eight years after organizing an OBO with the founder, Largillière Finance is back with Mendès Electricité, which has been sold to Deltacom's shareholder in 2020.
The new entity, strengthened by a solid team of almost 140 people and forecasting sales of €23 million for 2023, is specialized in high-voltage and low-voltage electrical installations for commercial, industrial, retail and sports buildings.
Fahad Kiani, who has managed both companies for several years, wanted to buy them.
He commissioned Largillière Finance to negotiate the deal and structure the bank debt for the takeover. The two historic banks (bpifrance and CIC) were involved in the arrangement, joined by LCL, a new member of the pool.
Fahad Kiani, Chairman of Mendès Electricité & Deltacom, comments: "Going from manager to shareholder is a crucial step for me. Largillière Finance has clearly understood this essential challenge. I would like to thank its teams for the quality of their advice and support, which enabled me to successfully complete this operation.
Nathanaël Blanc, Director at Largillière Finance, adds: "Thanks to our in-depth expertise in financial packages, particularly sponsorless ones, the Largillière Finance teams were able to leverage the strengths of the Mendès Electricité - Deltacom group and find the right partners for a non-dilutive financing package tailored to the group's ambitions."
