Fundraising - 2023

THE GROUPE OFF HAS RAISED FUNDS FROM FRI GESTION (SIPAREX GROUP) AND AMDG PRIVATE EQUITY

This operation, advised by Largillière Finance, allows the Groupe Off, one of the French leaders in the distribution of IT products, high tech and connected objects, to continue its development, by accelerating its digitalization and its external growth strategy.

Created in 2010 and based in Lyon (69), the Groupe Off is organized around its 2 flagship companies: Trax Distribution and Off Global

Trax Distribution is one of the major actors of the distribution of IT products, high tech and connected objects in France. Positioned exclusively in BtoB, Trax Distribution addresses a clientele composed of food supermarket (Carrefour, Auchan, Casino, ...),  large specialized retailers (Fnac, Boulanger, Darty, ...) and large corporates and office retailers (Office Dépôt, Bureau Vallée, ...). Initially specialized in the distribution of storage and flash memory products, Trax Distribution has initiated in 2019 a major diversification towards new segments such as connected objects, urban mobility (scooters, bikes, ...) or gaming (accessories).

Off Global is the group's subsidiary dedicated to the creation, manufacture and distribution of portable PCs and connected watches, produced solely under the NOKIA brand thanks to its global licensing agreement signed in 2021 with the Finnish group.

With its two companies and positioned in a buoyant sector, the Off Group is currently experiencing strong growth and has sales of over €60 million.

The development capital operation, carried out with FRI Gestion and AMDG Private Equity and advised by Largillière Finance, is part of the management's strong desire to accelerate the growth of the Groupe Off. In particular, it wishes to pursue the development of Off Global's business following the Nokia license and to accelerate the digitalization of its sales via marketplaces. These new financial resources will also allow the group to pursue its external growth strategy, following the recent acquisition of two companies. New opportunities are already being studied.

“When we launched our fundraising, many investors quickly mobilized to join the project. The signal was positive, strong and motivating. This is a new step for our group, and we are very happy to have the FRI Auvergne Rhône-Alpes 2, the Fonds Souverain Auvergne Rhône-Alpes and AMDG Private Equity by our side, and we thank them for the confidence they have shown in us. We wish to pursue our growth strategy with the integration of our own brands and distribution brands in order to market them through digital and retail distribution networks”.

“The Groupe Off has a unique business model in its market, with strong growth and at the forefront of new trends. This structuring step for the group will allow us to accelerate our external growth strategy and the development of new markets”.

Stéphanie Nauwelaers, Member of the FRI GESTION board :

“The funds provided by FRI Gestion will allow us to support the Off group in its external growth and to support internal projects initiated by Olivier Granger and his teams. The objective will be to pursue the thesis of strong growth by opening up to new products in order to remain an agile group and a forerunner in its development choices. Beyond the group’s recognized positioning in its environment, we were convinced by this dynamic team led by Olivier Granger, with whom we are very happy to be associated today. We are also delighted that the shareholder round has been opened to the AMDG Private Equity teams”.
