2nd build-up for Nova Formation

Strengthening and diversification of the BtoB offer

Acceleration of the digitalization of the new entity

Consolidation of Largillière Finance’s M&A expertise in the training sector

Created in 2009, Nova Formation is present in 23 cities in France and trains both the general public and professionals. When it was integrated into the Ophiliam fund in 2018, Nova Formation set itself a goal: to become a leading player in the rapidly expanding training market.

A first external growth operation was carried out in 2021 with Royer Robin Associés, expanding the offer towards training related to the fields of management-consulting, HR and quality.

Founded in 2002 by Stéphane Molinaro, an Edtech serial entrepreneur, LearnPerfect specializes in European language training, particularly English, and is a benchmark for training in computer and digital applications. Even before the health crisis, LearnPerfect had developed distance and blended learning programs that give it an undeniable lead. The numbers speak for themselves: over 40,000 learners trained, 500 virtual classroom training modules, and over 360 clients.
With the contribution of LearnPerfect, whose management team will remain in place, the new entity will have an expanded training catalog, particularly in the area of languages, as well as extensive expertise and shared resources in the area of digital learning, which will complement the 10 physical locations in mainland France, and a balanced distribution between B2B and B2C while maintaining the highest standards of quality – all major assets to meet the new demands in training post Covid, which allows it to quickly target a turnover close to 10 M€.

The successful process led by Largillière Finance was based on its good knowledge of the training sector and its challenges. Shamir Razavhoussen, Associate Director at Largillière Finance is delighted: “The training sector is still very fragmented, but, under the effect of regulatory changes, particularly in terms of certification, as well as digitalization, it should quickly consolidate around solid players offering a panel of recognized quality training. With the acquisition of LearnPerfect, we have completed our third transaction in less than a year in this sector.

As part of its growth strategy, Groupe DFM (€38 million turnover – 180 employees in 2019) announces the acquisition of the Lyon company Névox, consolidating its local ties

Groupe DFM continues its consolidation. Following several acquisitions over the past year, including MM Diffusion in late 2019, Groupe DFM has purchased the Lyon company Névox.

Founded in 2005, the target company specialises in managing IT and telephone solution systems for Lyon businesses. This means Groupe DFM acquires an extra 200 clients in the Auvergne Rhône Alpes region, for which Névox manages all IT systems, hardware, hosting, user support, solution integration (CRM, EDM, ERP, BI), both on-site or in the cloud. Groupe DFM also takes over an additional one million in added revenue and five employees, who will join the Lyon office by the end of the year.

Owned and managed by Hervé Boileau since 2017, Névox also offers services, as it organises training for its clients each month.

Groupe DFM reports turnover of €38 million and has 180 employees. With around twenty external growth operations in ten years, the Ile-de-France group now intends to step up its presence in regions where it already does business (Hauts-de-France, Rhône-Alpes, PACA and Ile-de-France), but also to develop its “e-security” activity. As a reminder, it has four areas of expertise: printing, IT, telephones and e-security.

About Groupe DFM (www.groupe-dfm.fr)

Founded in 2002, Groupe DFM has rapidly become a major figure in the field of printing solutions and systems in France. Supported since 2014 by the Bpifrance fund, Groupe DFM now offers its clients a comprehensive offer based around four complementary businesses: IT, telecoms (operators and equipment), security (alarms, CCTV, access control) and printing and document management (EDM).

Groupe DFM now has 180 employees and €38 million turnover, supporting over 6,000 clients across France through its offices in Ile de France, Lyon, Lille and Toulon.

About Névox (www.nevox.fr/)

Founded in 2005, Névox specialises in managing IT and telephone solution systems in the Lyon region. The company was managed by Hervé Boileau from 2017 onwards.

Founded in 2005, the Grenoble-based La Haute Société is a digital strategy consultancy agency. The self-proclaimed “Business Amplifier” agency has 40 employees and reports turnover of €3.5 million. La Haute Société offers a hybrid service to its many major clients, combining five skills dedicated to the design and deployment of digital packages: customer experience, brand content, design, technological development and digital marketing.

“La Haute Société was looking for a partner able to support it with its plans to create an offer reflecting market requirements. This process kicked off a year ago, and after reviewing many offers and meeting the founders of several groups, LHS and MK chose each other for the suitability of the project, the complementary nature of their offers and the cultural similarities between the two companies, which are focused on flexibility, high-quality advice and pragmatism. ” explained Christophe Bernard, Co-founder of La Haute Société.

With this alliance, Mediakeys secures an additional digital offer to extend the consumer journey and thus reinforces its network in France and overseas.

The La Haute Société teams will join the Mediakeys ecosystem of 17 offices worldwide and a tech lab in Montpellier. The new team has already worked on several projects, including for Vaujany and La Belle Montagne.

FM group acquires Toulon company AG Bureautique which is its first acquisition in the Provence-Alpes-Côte d’Azur region

The beginning of 2019 is under good auspices for DFM Group with the acquisition of AG Bureautique on January 9th. Already present in the PACA region with a technical brench office based in Marseille, the company acquired AG Bureautique which became its first commercial agency in the South.

Based in Toulon for 22 years, AG Bureautique distributes printing systems and solutions of the manufacturer CANON. This company of five employees brings 500 customers to DFM Group. As DFM Group is also a privileged partner of CANON, knowledge of products and training of technicians and salespeople will be facilitated for better monitoring and support of AG Bureautique’s customers.

As of now, the five employees of AG Bureautique will join DFM Group and will remain in their current offices. The director of AG Bureautique will remain in office for one year to ensure the transition and will then leave. DFM Group will recruit an agency director to support the development of the PACA branch.

An operation that is part of the group’s strategy:

For several years, the group, which has its head office in Ile-de-France (94), has begun to expand on the national territory in order to be always closer to its customers and to provide a service of proximity and quality. In 2016, the agency DFM Rhône-Alpes based in Lyon (69) was born and in 2018, the agency DFM Nord was created in Villeneuve d’Ascq (59). This acquisition is part of the company’s strategy to increase its presence in France.

DFM Group supports more than 6,000 customers throughout France on a daily basis and continues its active development.

Largillière Finance has been supporting DFM Group in its external growth strategy since 2014.

EMP Corp strengthens its technical and regulatory expertise with the acquisition of the SysPay Electronic Money Issuer

Paris, January 2019 – Founded in late 2013 by Gilles Moro, Hervé Arnould and Franck Pilarek, three payment services professionals, EMP Corp is an innovative provider of payment services based in Luxembourg. The company is particularly active on the business of processing secure online payments and e-currency offline (vouchers).

EMP Corp has significant competitive advantages that result in strong barriers to entry. In very strong growth since its creation, the company has electronically processed more than 400 million euros of transaction volume in 2018.

In close partnership for several years, the EMP Corp shareholders have mandated the investment bank Largillière Finance with the objective of acquiring a company holding the status of European EME (Electronic Money Issuer). This approval is very difficult to obtain and few payment service companies get it.

Among the mergers proposals with European fintech identified by Largillière Finance, EMP Corp’s shareholder-managers have decided to retain SysPay, a Maltese company operating in the European Union countries. Founded in 2012 by experts in the online payment industry, the company was one of the first European companies to achieve European EME status.

About EMP Corp (www.empcorp.com)

Based in Luxembourg, EMP Corp is an European payment service provider specializing in online payment solutions. The company is developing an innovative e-wallet to process online merchant credit cards, prepaid purchase vouchers for Internet purchases and prepaid card management. In 2017, EMP Corp generated close to € 12 million in revenues for more than € 3 million in EBITDA.

About SysPay (www.syspay.com)

Based in Malta, SysPay is an European Financial Institution with the status of EME. The company offers merchants a unique, transparent payment solution to accept all payments anywhere on any device in 23 currencies. SysPay is also the first payment institution dedicated to the hotel sector.
